For paid subscriptions, the agreement is effective for the subscription term and renews automatically unless notice is given at least 30 days before renewal. Either party may terminate for material breach if not cured within 30 days. Free Access Subscriptions can be terminated by either party with written notice. Source

Fees are payable in U.S. dollars, non-cancelable, and non-refundable. Payment can be made via credit card or invoice. Late payments may result in service suspension and accrue interest at 1% per month. Source

Yes, Spinach AI may provide free or trial access ("Free Access Subscriptions") and beta releases. These may be terminated at any time and may not be fully functional. Use of beta releases is at the customer's sole risk. Source

Yes, affiliates of the customer may enter into their own Order Forms under the same agreement, and each Order Form is a separate obligation. Source

All fees are exclusive of taxes. Customers are responsible for paying all taxes except those based on Spinach AI's income. Source

Spinach AI will defend customers against claims of U.S. patent, copyright, or trade secret infringement related to the service and indemnify for damages. Customers must defend Spinach AI against claims arising from excluded causes, such as misuse or third-party products. Source

Neither party is considered in breach for delays or interruptions caused by events beyond their reasonable control, such as natural disasters, war, or cyber attacks. Source
